Welcome to Flawagram. These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Ekasha Resources Ltd. ("Company", "we", "us", "our"), the owner and operator of Flawagram, governing your access to and use of the Flawagram platform, including any associated websites, applications, services, and content (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting. Your continued use of the Service following any modifications constitutes acceptance of the modified Terms.
Flawagram is an official announcement platform designed for businesses, brands, creative professionals, government entities, and other organizations to communicate official announcements to their audiences. By using our Service, you agree to use it solely for lawful purposes and in accordance with these Terms.
To use the Service, you must: (a) be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater; (b) have the legal capacity to enter into a binding agreement; (c) not be prohibited from using the Service under applicable laws; and (d) if registering on behalf of an organization, have the authority to bind that organization to these Terms.
To access certain features of the Service, you must create an account. When creating an account, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) maintain the security of your account credentials; (d) accept responsibility for all activities that occur under your account; and (e) immediately notify us of any unauthorized use of your account.
Organizations registering for a Flawagram account ("Brand Account") must provide verification of their legal status and authority to represent the organization. We reserve the right to require additional documentation and to deny or revoke verification status at our sole discretion. Verified accounts receive a verification badge indicating official status.
Flawagram provides: (a) Brand Pages ("Flawagrams") where organizations can publish official announcements; (b) a unified Announcements Feed aggregating announcements from all brands; (c) brand discovery and following capabilities; (d) analytics and engagement metrics for brand account holders; and (e) additional premium features as described in our pricing plans.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
The Service may contain links to or integrations with third-party websites, services, or content. We do not endorse, control, or assume responsibility for any third-party content or services. Your interactions with third parties are solely between you and such third parties.
"User Content" means any content, including but not limited to announcements, text, images, logos, and other materials that you submit, post, or display on or through the Service. You retain ownership of your User Content, subject to the license granted herein.
By submitting User Content, you grant Ekasha Resources Ltd. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and our business operations, including for promotional purposes.
You agree that all User Content will: (a) be accurate and not misleading; (b) not infringe any third-party rights; (c) not contain any unlawful, defamatory, obscene, or harmful material; (d) not contain viruses or malicious code; (e) not impersonate any person or entity; and (f) comply with all applicable laws and regulations.
You agree not to: (a) use the Service for any illegal purpose; (b) attempt to gain unauthorized access to the Service or its systems; (c) interfere with or disrupt the Service; (d) engage in any automated use of the Service; (e) collect or harvest user information without consent; (f) use the Service to send spam or unsolicited communications; or (g) violate any applicable laws or regulations.
Flawagram offers various subscription plans for brand accounts, including free and paid tiers. The features, limitations, and pricing of each plan are described on our pricing page. We reserve the right to modify our pricing and plans at any time, with notice to existing subscribers.
For paid subscriptions: (a) you agree to pay all fees associated with your selected plan; (b) fees are billed in advance on a monthly or annual basis; (c) all payments are processed through our third-party payment processors; (d) you authorize us to charge your designated payment method; and (e) all fees are stated in USD unless otherwise specified.
Paid subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through your account settings or by contacting support@flawagram.com. Cancellation will take effect at the end of the current billing period.
You are responsible for all applicable taxes, duties, and levies associated with your use of the Service, except for taxes based on our net income. We may collect applicable sales tax where required by law.
The Service, including its original content, features, functionality, design, and branding (excluding User Content), is and will remain the exclusive property of Ekasha Resources Ltd. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include any right to: (a) modify or copy the Service; (b) use the Service for commercial purposes not intended by us; (c) reverse engineer any part of the Service; or (d) remove any proprietary notices.
If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us an unlimited, irrevocable, perpetual, royalty-free license to use such Feedback for any purpose without compensation to you.
Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.
We implement appropriate technical and organizational measures to protect your personal information. However, no method of transmission over the Internet or electronic storage is completely secure, and we cannot guarantee absolute security.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EKASHA RESOURCES LTD. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EKASHA RESOURCES LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100 USD).
You agree to defend, indemnify, and hold harmless Ekasha Resources Ltd. and its directors, officers, employees, agents, partners, contractors, licensors, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; (d) your User Content; or (e) your violation of any applicable laws or regulations.
You may terminate your account at any time by contacting us at support@flawagram.com or through your account settings. Upon termination, your right to use the Service will immediately cease.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.
Upon termination: (a) all licenses granted to you will terminate; (b) you must cease all use of the Service; (c) we may delete your account and User Content; and (d) provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ekasha Resources Ltd. is incorporated, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The arbitration shall be conducted in English, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
YOU AND EKASHA RESOURCES LTD. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
These Terms, together with our Privacy Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and Ekasha Resources Ltd. regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
